Welcome to WaveOMS.com. These Terms and Conditions (“Terms”) govern your use of our website and our Products (the “Service”). By accessing or using our Service, you agree to be bound by these Terms.
1. Definitions
- “Wave OMS” “We” “Us” or “Our” refers to WaveOMS Ltd. T/A WaveOMS, registered in Ireland.
- “User” or “You” refers to any business or individual using the Service.
- “Software” or “Product” refers to the WaveOMS Product – Product: WaveOMS Warehouse Management System (WMS) SaaS Platform.
- “Authorized User” means your employees or contractors authorized to use the account.
2. Use of Service
2.1. Eligibility: You must be at least 18 years old and have the legal authority to bind your business to these Terms.
2.2. License Grant: WaveOMS grants you a non-exclusive, non-transferable, revocable license to access and use the WaveOMS platform solely for your internal business operations, subject to the terms of your subscription plan.
2.3 SaaS Nature: You acknowledge that the service is provided as Software-as-a-Service (SaaS) hosted by WaveOMS or its third-party providers. No physical copy of the software is delivered to you.
2.4 Account Security: You are responsible for all activity occurring under your account. You must notify us immediately of any unauthorized use of your password or account.
3. Subscription and Fees
3.1. Pricing: Fees are based on the plan selected during signup (e.g., number of orders, users, or integrations).
3.2. Payment: All fees are exclusive of VAT and are non-refundable unless stated otherwise.
3.3. Late Payment: Failure to pay subscription fees may result in the suspension or termination of your access to the Service.
4. Intellectual Property
4.1. Ownership: All rights, title, and interest in and to the WaveOMS platform, including source code, algorithms, UI/UX design, and documentation, remain exclusively with WaveOMS.
4.2. Customer Data: You retain ownership of all data uploaded to the system (“Customer Data”). You grant WaveOMS a royalty-free license to host, store, and process this data solely to provide the services.
5. Data and Privacy
5.1. Roles: WaveOMS acts as a Data Processor for the personal data you upload regarding your customers/employees. You act as the Data Controller.
5.2. Processing: We process personal data in accordance with our Privacy Policy and applicable Data Protection Laws (GDPR/Data Protection Act 2018).
5.3. Location: Data is stored within the European Economic Area (EEA). If data is transferred outside the EEA, we ensure appropriate safeguards (e.g., Standard Contractual Clauses) are in place.
6. Service Availability & Hardware
6.1. Uptime: We aim for 99.9% uptime but do not guarantee uninterrupted access. Maintenance will be communicated in advance where possible.
6.2. Official Terminals: Any hardware purchased through Wave OMS (e.g., Zebra scanners) is subject to the manufacturer’s warranty. Wave OMS is not liable for hardware malfunctions beyond the scope of our software integration.
7. Limitation of Liability
7.1. Liability: Wave OMS shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business reputation, arising from the use of the Service.
7.2. The Cap: To the maximum extent permitted by Irish law, our total liability for any claim arising out of this agreement shall not exceed the total fees paid by you in the 12 months preceding the claim.
7.3 Mandatory Liability: Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud or any other liability that cannot be excluded under Irish law.
8. Term and Termination
8.1 Subscription Term: This agreement begins on the Effective Date and continues until written instruction is received to terminate.
8.2 Auto-Renewal: Subscriptions will automatically renew for successive terms unless either party gives 30 days notice of non-renewal.
8.3 Termination for Breach: Either party may terminate this agreement if the other party materially breaches these terms and fails to rectify the breach within 14 days of notice.
4.4 Data Export: Upon termination, you have 30 days to export your Customer Data. After this period, WaveOMS may delete the data in accordance with its data retention policy.
9. Governing Law
This section applies if you are a “Consumer” under the Irish Consumer Rights Act 2022. Our terms and conditions are construed in accordance with the laws of Ireland.
9.1 Right to Conformity: We warrant that the digital service will match the description provided at the time of purchase and will be fit for the purposes for which such services are normally used.
9.2 Updates: We will provide necessary security and functional updates to maintain the
service in conformity for the duration of your subscription.
9.3 Remedies: If the service is faulty, you have the right to have it brought into conformity. If we fail to do so within a reasonable time, you may be entitled to a price reduction or a refund.
9.4 Jurisdiction: Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the Courts of Ireland.
10. Support & SLA
WaveOMS will provide support at no additional cost above the monthly fee
for the service the “customer” has purchased. WaveOMS will provide
“The Customer” with phone and email support as set out below, excluding Republic of Ireland Public holidays, within normal business hours. Normal Business hours are defined as Monday – Friday 9 am – 5 pm Irish Standard Time. WaveOMS delivers 99.9% uptime.

| P3 – Medium (Severity 3) | The error limits the functionality or usefulness of the service, but the condition is not critical to the continued operation of the service. A workaround is readily available and can be applied or used with little or no operational impact. | < 4 Hours |
| P4 – Low (Severity 4) | Minimal problems in the Service arising from a misleading or unsatisfactory component or feature. The problem can be circumvented with no operational impact and there are no data integrity issues. | 8 Hours |
11. Acceptable Use Policy (AUP)
11.1 Restrictions: You shall not:
? Reverse engineer, decompile, or attempt to extract the source code of WaveOMS,
except as permitted by the European Communities (Software) Regulations.
? Use the system to store or transmit infringing, libelous, or otherwise unlawful
material.
? Attempt to gain unauthorized access to our servers or bypass security measures.
? Use any automated “scraping” or data extraction tools without prior written consent.
12. Website Use and Security
You are entirely responsible for any and all activities that occur while using the WaveOMS.com website. You agree to notify us immediately of any unauthorised use or any other breach of security.
13. Website Privacy And Data Use
We do not retain your data. Please refer to our Privacy Policy for more information.
14. Website Conduct
You agree to abide by all applicable local, state, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your usage, including the content of your transmissions through the Website. All information, designs, drawings and other specifications provided on the Website are the exclusive property of WaveOMS. Any copying, transmission or re-transmission of the same requires the prior written approval of WaveOMS.
15. Website Advertising
We reserve the right at all times to place advertisements and promotions on the Website. Advertisers and sponsors on the Website or CD ROM are solely responsible for complying with all local, national, state and international laws (where relevant) and we exclude all liability howsoever caused therefrom.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or a prominent notice on our website. Continued use of the Service after changes constitutes acceptance of the new Terms.
